These Terms and Conditions ("Terms") govern your access to and use of the website located at www.alfa-zula.com (the "Site"), operated by Alfa Zula Professionals Inc., a Florida corporation ("Company," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must discontinue use of the Site immediately.

These Terms apply to all visitors, users, and others who access the Site, regardless of their location. The Company conducts business domestically across the continental United States and internationally, including in Puerto Rico, the U.S. Virgin Islands, and Latin America.

1. Acceptance of Terms and Clickwrap Agreement

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions and our Privacy Policy, which is incorporated herein by reference.

To the extent the Company deploys service portals, client-facing forms, or interactive features on the Site that require affirmative consent, you will be required to click "I Agree" or a comparable button to confirm acceptance of these Terms before accessing those features. This clickwrap mechanism is intended to satisfy Florida and federal requirements for enforceable online agreements. Florida courts have held that clickwrap agreements, where users must affirmatively check a box or click a button to indicate assent, are generally enforceable provided they are conspicuously presented and the user has actual or constructive notice of the terms.

Users accessing the informational portions of the Site are on notice of these Terms through their prominent placement in the Site footer and on a dedicated legal page. Continued use of the Site constitutes acknowledgment of and agreement to these Terms.

All content on the Site, including but not limited to text, graphics, logos, images, the Company name, taglines, capability statements, and the overall design and layout, is the exclusive property of Alfa Zula Professionals Inc. or its licensors and is protected by applicable U.S. and international copyright, trademark, trade dress, and other intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in or to any Company intellectual property. You may not use, copy, reproduce, modify, distribute, or create derivative works from any content on the Site without the Company's prior written consent. Any unauthorized use of Company intellectual property is strictly prohibited and may subject you to civil and/or criminal liability.

4. No Professional-Client Relationship

The information provided on the Site is for general informational purposes only and does not constitute professional advice of any kind, including legal, financial, contractual, or procurement advice. Accessing the Site, submitting a contact inquiry, or exchanging communications with the Company through the Site does not create a professional-client relationship, teaming agreement, subcontract, or any binding contractual obligation between you and the Company.

Any engagement for services requires a separate, executed written agreement signed by authorized representatives of both parties.

5. Accuracy of Information

While we strive to keep the information on the Site accurate, complete, and current, we make no representations or warranties of any kind, express or implied, regarding the accuracy, reliability, completeness, or timeliness of any content on the Site. Capability statements, past performance summaries, certifications, and credentials are provided for informational purposes and are subject to change without notice.

The Company reserves the right to modify, update, or remove any content on the Site at any time without prior notice.

6. Third-Party Links

The Company does not endorse, control, or assume any responsibility for the content, privacy practices, or policies of any third-party website. 7. Cybersecurity Compliance

As a federal government contractor, Alfa Zula Professionals Inc. is committed to cybersecurity compliance in connection with its performance of government contracts. The following standards and requirements apply to the Company's contractual operations and covered information systems:

  • FAR 52.204-21 (Basic Safeguarding of Covered Contractor Information Systems): The Company implements the 15 basic safeguarding requirements for covered contractor information systems that process, store, or transmit Federal Contract Information (FCI)

  • DFARS 252.204-7012 (Safeguarding Covered Defense Information and Cyber Incident Reporting): Where applicable to defense contracts, the Company implements NIST SP 800-171 security controls to protect Covered Defense Information (CDI) and reports qualifying cyber incidents to the Department of Defense (DoD) Cyber Crime Center (DC3) within 72 hours of discovery

  • NIST SP 800-171: The Company works to implement applicable security requirements from NIST Special Publication 800-171 (Protecting Controlled Unclassified Information in Nonfederal Systems and Organizations) across its covered information systems

The foregoing cybersecurity requirements apply to the Company's contractual performance environment. The Site itself is a public-facing marketing and informational website and does not process Federal Contract Information or Controlled Unclassified Information. Users should not submit sensitive government information through the Site's contact form.

Nothing in this section creates any right or benefit, substantive or procedural, enforceable at law or in equity by any party against the United States, its agencies, instrumentalities, or employees.

8. Website Accessibility

Alfa Zula Professionals Inc. is committed to ensuring that the Site is accessible to individuals with disabilities. As a government contractor, the Company is mindful of the requirements of Section 508 of the Rehabilitation Act of 1973, as amended, 29 U.S.C. § 794d, which requires that federal agencies and covered contractors make electronic and information technology accessible to people with disabilities.

THE SITE AND ALL CONTENT, INFORMATION, AND MATERIALS AVAILABLE THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE COMPANY DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. THE COMPANY DOES NOT WARRANT THAT ANY DEFECTS WILL BE CORRECTED OR THAT THE SERVER THAT MAKES THE SITE AVAILABLE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALFA ZULA PROFESSIONALS INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SUCCESSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

  • Your access to or use of, or inability to access or use, the Site

  • Any conduct or content of any third party on or through the Site

  • Any content obtained from the Site

  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS ($100.00).

Notwithstanding the foregoing, this limitation of liability shall not apply to, and the Company does not seek to limit its liability for: (a) claims arising from the Company's gross negligence or willful misconduct; (b) liability that cannot be excluded or limited under applicable law, including statutory liability under FIPA or other consumer protection statutes; or (c) death or personal injury caused by the Company's negligence. Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Alfa Zula Professionals Inc. and its officers, directors, employees, agents, contractors, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any thirdparty rights.

Notwithstanding the foregoing, your indemnification obligation shall not apply to claims, damages, or liabilities arising from the Company's own gross negligence or willful misconduct. The Company reserves the right, at its own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you.

12. Privacy

Your use of the Site is also governed by our Privacy Policy, available at www.alfa-zula.com, which is incorporated into these Terms by reference. By using the Site, you consent to the data practices described in our Privacy Policy.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Hillsborough County, Florida, and you hereby consent to personal jurisdiction in those courts. The Company operates in compliance with applicable U.S. federal law, including regulations governing federal government contracting. Nothing in these Terms limits any rights or obligations arising under federal law.

14. Compliance with Law

As a government contractor certified by the U.S. Small Business Administration (SBA), Alfa Zula Professionals Inc. operates in compliance with applicable federal laws and regulations, including but not limited to the Federal Acquisition Regulation (FAR) and SBA regulations governing Women-Owned Small Businesses (WOSB) and Economically Disadvantaged WomenOwned Small Businesses (EDWOSB). Your use of the Site must similarly comply with all applicable laws, including U.S. export control laws and regulations.

15. Modifications to These Terms

The Company reserves the right to modify or update these Terms at any time at its sole discretion. Any changes will be effective immediately upon posting to the Site with an updated Effective Date. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of any updates.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable under applicable law, that provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy and any other legal notices published on the Site, constitute the entire agreement between you and the Company with respect to your use of the Site and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, relating to such subject matter.
